The 2009 Option was originally granted on August 20, 2009 and provides for vesting in three equal annual installments beginning on August 20, 2010. The 2013 Option provides that, provided that the reporting person is in the employ of the issuer on December 31, 2013, the 2013 Option may be exercised, in whole or in part, with respect to up to 1,600,000 shares on or following December 31, 2013.
