("PFLT"), PFLT Panama, LLC, PFLT Funding II, LLC, and solely for certain limited purposes under the Merger Agreement, PennantPark Investment Advisers, LLC, on August 18, 2015, each share of the issuer's common stock, issued and outstanding immediately prior to the Effective Time (as defined in the Merger Agreement) and not otherwise excluded pursuant to the terms of the Merger Agreement, was converted into the right to receive $0.30595 in cash and 0.32044 shares of PFLT common stock.
