(the "Reporting Person") is filing this statement solely because, as a result of a Voting Agreement, dated as of July 20, 2018, among the Reporting Person, and certain holders (collectively, the "Stockholders") of shares of common stock, no par value ("Common Stock") of Syntel, Inc. (the "Issuer"), the Reporting Person may be deemed to have beneficial ownership of 42,369,957 shares of Common Stock beneficially owned by the Stockholders, which is equal to 51.07% of the voting power of the 82,968,320 issued and outstanding shares of Common Stock as of July 18, 2018. The Voting Agreement was entered into in connection with the Agreement and Plan of Merger, dated as of July 20, 2018, among the Reporting Person, the Issuer and Green Merger Sub Inc., a wholly owned subsidiary of the Reporting Person.
