- [F1]As described in the issuer's registration statement (the "Registration Statement") on Form S-1 (File No. 333-248094) under the heading "Description of securities - Founder shares," the shares of the issuer's Class B common stock, par value $0.0001 per share, will automatically convert into shares of the issuer's Class A common stock, par value $0.0001 per share, at the time of the issuer's initial business combination on a one-for-one basis (or earlier, at the holder's option), subject to adjustments for stock splits, stock dividends, reorganizations, recapitalizations and the like, and certain anti-dilution rights and have no expiration date.
- [F2]The shares of Class B common stock owned by the Sponsor included up to 1,281,690 shares that were subject to forfeiture in the event the underwriters of the initial public offering of the Issuer's securities did not exercise in full their over-allotment option as described in the issuer's Registration Statement. Because the underwriters exercised their over-allotment option in part, the Sponsor forfeited 231,787 shares of Class B common stock without consideration on September 23, 2020 for cancellation by the Issuer.
