- [F1]The Reporting Person River acquired 1,000,000 shares of the Issuer's Common Stock as the consideration for the sale by the Reporting Person of certain real property. The shares had a deemed value of $6.69 per share in the transaction. The 1,000,000 shares acquired are held by the Reporting Person indirectly via The River House Trust dated August 21, 2003. Under the real estate sale agreement pursuant to which the 1,000,000 shares were acquired, the Reporting Person has the right to cancel the transaction on December 31, 2011 (or sooner, upon the occurrence of certain events) and to return the 1,000,000 shares (or an equivalent number of shares of the Issuer) to the purchaser of the real estate if certain conditions are not met, as specified in the agreement.
- [F2]The Reporting Person and his spouse serve as the co-trustees of The River House Trust dated August 21, 2003 and the Reporting Person is the sole beneficiary of such trust.
