- [F1]As previously reported, in connection with Mr. Miodunski's appointment to serve as a director by the Board of Directors (the "Board") of VendingData Corporation (the "Company"), the Company granted Mr. Miodunski on November 7, 2005, the option to purchase 100,000 shares of the Company's $.001 par value common stock ("Common Stock") at $3.00 per share, pursuant to the Company's 1999 Stock Option Plan. The option shares vest over three years with the first 34,000 option shares vesting on November 7, 2006, an additional 33,000 option shares vesting on November 7, 2007, and the remaining 33,000 option shares vesting on November 7, 2008. The expiration date of the aggregate amount of 100,000 option shares is November 7, 2011.
- [F2]On March 7, 2007, pursuant to the Company's 1999 Directors' Stock Option Plan (the "Plan"), the Company issued to Mr. Miodunski options to purchase 10,000 shares of Common Stock in consideration of his service as a member of the Company's Board of Directors in calendar year 2006. Pursuant to the Plan, these options expire the later of March 6, 2017 or three months after Mr. Miodunski ceases to serve as a member of the Board.
