- [F1]In April 2007, the Reporting Person entered into a Revolving Credit and Term Loan Agreement with the Issuer (the "Agreement") pursuant to which the Reporting Person acquired a convertible note and warrants. The Reporting Person filed a Form 3 on April 20, 2007 to report the securities acquired in connection with the Agreement. On June 22, 2009, the Reporting Person amended the Agreement so that, among other things, the note was no longer convertible. Additionally, the 800,000 warrants previously issued to the Reporting Person were cancelled, and the Reporting Person was issued a new warrant as set forth in Table II.
- [F2]The Reporting Person is a Delaware limited liability company. The managing member of the Reporting Person is ComVest Capital Management LLC ("Management"). Michael Falk and Robert Priddy are the Managing Members of Management. Management, Mr. Falk and Mr. Priddy, all of whom maintain offices at the same address as the Reporting Person, are filing this Form 4 jointly with the Reporting Person. As of the date hereof, the Reporting Person directly beneficially owns 19,282,200 derivative securities of the issuer. Management, as managing member of the Reporting Person, indirectly beneficially owns the securities that the Reporting Person directly owns. Mr. Falk and Mr. Priddy by virtue of their status as Co-Managing Members of Management, may be deemed to have indirect beneficial ownership of the securities owned by the Reporting Person.
