Pursuant to the Agreement, Ms. Qi Na acquired voting control to 2,590,705 shares of GC China Turbine Corp.'s ("GC China") common stock owned by Golden Wind following the closing of a certain share exchange agreement between GC China and Luckcharm Holdings Limited. In addition, Mr. Qi Na acquired an option to purchase the above 2,590,705 shares of GC China common stock from Golden Wind at an exercise price equal to $0.0001 per share. The option is exercisable upon the occurrence of certain events as set forth in the Agreement.
