We have not declared any dividends on our Common Stock to date, and we have no intention of declaring dividends in the foreseeable future.
Risks Related to Our Company and Our Industry
One of our primary manufacturing facilities is located in Bahrain. Recent civil unrest in Bahrain may cause us to incur manufacturing delays or product shortages.
In light of our recent operating performance and challenging industry conditions, we are considering various strategic alternatives which may include, without limitation, joint ventures, other forms of strategic alliances, and/or a sale or divesture of all or a significant portion of our assets. We may consummate any of such transactions without the approval of our minority shareholders and our shareholders may receive consideration per share that is materially less than the exercise price of the subscription rights.
We do not have employment agreements with any of our officers and do not maintain key-man life insurance policies on any of our officers.
Both we and certain of our officers, directors and shareholders continue to be involved in litigation arising from the 2005 bankruptcy action.
