Such securities were purchased as Units issued by the registrant in its initial public offering at $10.00 per unit. The balance of the securities are held directly by Blue Wolf MHC Ltd., the registrant's sponsor, of which Geologic is a shareholder. Mr. Ireland is the Chief Executive Officer of Geologic. Each of Geologic and Mr. Ireland disclaims beneficial ownership of the reported securities except to the extent of its pecuniary interest therein, and this report shall not be deemed an admission that such person is the beneficial owner of the securities for purposes of Section 16 of the Securities Exchange Act of 1934, as amended, or for any other purpose.
