(the "Issuer") completed the merger pursuant to that certain Agreement and Plan of Merger dated as of June 19, 2011, as amended on October 11, 2011 (the "Merger Agreement"), by and among the Issuer, Tech Full Electric Acquisition, Inc., a Nevada corporation ("Merger Sub") and Tech Full Electric Company Limited, a Cayman Islands exempted company ("Parent") pursuant to which Merger Sub merged with and into the Issuer with the Issuer surviving the merger as a wholly owned subsidiary of Parent (the "Merger").
- [F2]In connection with the Merger, the reporting person contributed 350,000 shares of the Issuer's common stock to Parent immediately prior to the consummation of the Merger pursuant to that certain contribution agreement dated as of June 19, 2011, by and among Parent, the Issuer, the reporting person and certain other rollover shareholders.
- [F3]Mr. Xu is the sole owner of the equity of Victory Lake Investments Limited ("Victory Lake") and has voting and dispositive control over the shares of common stock held by Victory Lake.
