- [F1]The securities are time-based Restricted Stock Units awarded by the Issuer, and vest over a period of three (3) years in 12 equal quarterly installments, such installments commencing 90 days after the grant of said securities, with full acceleration of vesting upon a termination by the Issuer without cause, and in accordance with the terms of the Issuer's 2008 Incentive Stock Plan and the form of restricted stock grant agreement with respect to such award.21,480 shares of restricted common stock were awarded as an initial sign-on grant for service as a director. On December 28, 2012, the reporting person and the Issuer agreed that the restricted stock grants would be rescinded by the Issuer, effective immediately, which is during the same tax year as the grant, such that the parties have been returned to the same position as if the restricted stock grants had never occurred.
