- [F1]On January 22, 2000, W & C Family Partnership, Ltd (the "Partnership") was formed by James Wallace Nall, Jr. ("JWN, Jr.") and his father James Wallace Nall, Sr. ("JWN, Sr."), and mother, Catherine Fletcher Nall. On formation of the Partnership, JWN, Sr. transferred 30,475 shares of the Issuer (the "Shares") to the Partnership. On January 22, 2000, JWN, Jr. owned a 12.0% interest in the General Partner of the Partnership, W & C, LLC, which owned a 1.0% interest in the Partnership. For SEC reporting purposes, JWN, Jr. is deemed the beneficial owner of his proportionate interest in the Shares owned by the Partnership or 36.57 shares. Except for SEC reporting purposes, JWN, Jr. disclaims beneficial ownership of the remaining portion of the Shares.
