Item 2.02. Results of Operations and Financial Condition.

On July 31, 2025, Norwegian Cruise Line Holdings Ltd. (“NCLH”), which is the direct parent company of NCL Corporation Ltd. (“NCLC”), issued a press release regarding NCLH’s financial results for the quarter ended June 30, 2025. A copy of the press release is furnished as Exhibit 99.1 to this report. NCLH’s financial statements and financial results will differ from NCLC’s in certain respects. NCLC’s financial results for the quarter ended June 30, 2025 will be filed on a Form 10-Q.
