Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 3, 2025, James A. Hughes resigned from the Company’s board of directors (the “Board”). There are no disagreements between the Company and Mr. Hughes relating to the Company’s operations, policies, or practices that resulted in his decision to step down from the Board.
