("RI") and indirectly beneficially owned by EGI-Fund (02-04) Investors, L.L.C., the sole managing member of RI ("Fund 02-04"), EGI-Managing Member (02-04), L.L.C., managing member of Fund 02-04 ("MM"), SZ Investments, L.L.C., managing member of MM ("SZ"), and Chai Trust Company, L.L.C., the indirect manager of SZ ("Chai").
- [F2]On June 24, 2004, the reporting person was granted a Common Stock Warrant to purchase up to 450,000 shares of Common Stock. The Warrant vests based upon satisfaction of criteria specified in the Warrant. As of August 16, 2004, criteria were satisfied resulting in the vesting of the Warrant as to 50,000 shares, in addition to the 200,000 shares previously vested. The Warrant has previously been exercised as to such 200,000 previously vested shares.
