The grant vests as follows: one-fourth of the total number of shares subject to the grant shall vest on the first anniversary of the grant date and on each of the next three anniversaries thereof provided on each such date the grantee remains employed with the Company, provided, however, that the greater of the portion that would have vested (i) based on the period of employment from the grant date through the date of a change in control of the Company (i.e., the "Effective Date") pursuant to the Merger Agreement among the Issuer, Umbrella Holdings, LLC and Umbrella Acquisitions, Inc. and (ii) six months after the grant date shall vest on the Effective Date.
