- [F1]As adjusted to reflect the effect of a six-for-five split in the Issuer's common stock effected in the form of a 20% stock dividend which became effective on March 11, 2002. As a result of the stock split, the reporting person received an aggregate of 6,084 and 50 additional shares, which are included in the common stock shares reported as held directly and indirectly, respectively. In accordance with antidilution provisions of the Issuer's Director Stock Option Plan, as a result of the stock split, the reporting person's stock options became exercisable for 1,289 additional shares, and the exercise price was similarly adjusted. In accordance with the terms of the Issuer's Series A Convertible Preferred Stock, as a result of the stock split the conversion ratio was adjusted from 1-to-1 to 1-to-1.2 and the number of underlying shares of common stock was increased by 4,000 shares.
