Each share of deferred stock represents the reporting person's right to receive a share of SCPIE Holdings Inc. ("SCPIE") common stock upon distribution of his deferred stock account. Distribution will occur upon the reporting person's termination of service with SCPIE, his death or SCPIE's change of control.
