- [F1]The Restricted Stock Units (the "RSUs") were granted pursuant to an amended and restated employment agreement for Mr. Koumriqian, dated as of March 12, 2009. The RSUs will vest as to 20% of the RSUs on each of March 12, 2010, 2011, 2012, 2013 and 2014. After March 12, 2010, the RSUs will vest on a daily pro rata basis between each anniversary date of the grant date. All of the vested RSUs will be distributed in shares of the Issuer's Common Stock or, at the option of the Issuer, paid in cash upon the earliest to occur of the fifth anniversary of the grant date (March 12, 2014), the date of the occurrence of a change in control or the date of the Reporting Person's separation from service for any reason.
