- [F1]Transferred pursuant to a Warrant Transfer Agreement (the "Agreement"), dated January 30, 2009, by and between Middle Kingdom Alliance Corp. ("Middle Kingdom"), Capital Ally Investments Limited ("Capital Ally") and Arch Digital Holdings Limited ("Arch BVI"). Under the Agreement, Mr. Tanenbaum and certain other stockholders of Middle Kingdom agreed to transfer Class A Warrants of Middle Kingdom to Capital Ally and Arch BVI as consideration for the purchase of up to $23,500,000 of the Class B common stock of Middle Kingdom by Capital Ally and Arch BVI (the "Class B Purchases"). The Class B Purchases were intended to secure stockholder approval of certain amendments to Middle Kingdom's certificate of incorporation in furtherance of a business combination between Middle Kingdom Alliance Corp. and Pypo Digital Holdings Limited.
