Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 28, 2023, Rocco DelGuercio notified Investcorp US Institutional Private Credit Fund (the “Company”) of his resignation as the Company’s Chief Financial Officer, Chief Compliance Officer, Treasurer and Secretary, effective as of March 31, 2024. Mr. DelGuercio’s resignation is not a result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices (accounting or otherwise).
