Submission of Matters to a Vote of Security Holders

On May 29, 2025, the Company’s stockholders, acting by unanimous written consent in lieu of an annual meeting, re-elected David Lambert, Timothy Moran, Morris D. Weiss and Robert O’Sullivan as members of the Company’s board of directors, each to serve until the 2026 annual meeting of stockholders or until their earlier resignation, removal from office, death or incapacity.
