Other Events.

On August 29, 2025, Phoenix Energy One, LLC (the “Company”) issued a press release announcing the commencement of its offering of up to 3,750,000 Series A Cumulative Redeemable Preferred Shares representing membership interests in the Company at a purchase price of $20.00 per share in an offering pursuant to Regulation A promulgated under the U.S. Securities Act of 1933, as amended.

A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
