Third Quarter 2025 Distribution

On September 18, 2025, we issued a press release announcing our third quarter 2025 distribution, as further described in Item 8.01 below. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.

Item 8.01 Other Events.

On September 18, 2025, our board of directors authorized a distribution to holders of our common stock of record as of the close of business on September 30, 2025, for the quarter commencing on July 1, 2025 and ending on September 30, 2025. The quarterly distribution will be equal to $0.25 per share of our common stock, which is equal to an annualized distribution rate of $1.00 per share. The third quarter distribution will be paid in cash on or about October 17, 2025, only from legally available funds.
