Cash Distributions

The board of directors (the “Board”) of NexPoint Capital, Inc. (the “Company”) declared a cash distribution of $0.09 per share of the Company’s common stock, par value $0.001 per share, payable on October 10, 2025, to the stockholders of record on September 30, 2025.

Item 8.01. Other Events

As of September 30, 2025, the net asset value per share and the price at which the Company issues shares under its distribution reinvestment plan (the “DRP”) was determined to be $4.59 per share in accordance with the valuation policies and procedures established by the Company’s investment adviser (the “Adviser”) and approved by the Board of the Company, pursuant to Rule

under the Investment Company Act of 1940, as amended. The price at which shares are issued under the DRP is determined by the Adviser in its sole discretion, and is (i) not less than the net asset value per share determined in good faith by the Adviser in its sole discretion, immediately prior to the payment of the distribution (the “NAV Per Share”) and (ii) not more than 2.5% greater than the NAV Per Share as of such date.
