AMENDMENT NO. 4 dated as of October 15, 2025 (this “Amendment”), among THE CHEMOURS COMPANY, a Delaware corporation (the “Borrower”), the other LOAN PARTIES party hereto, the LENDERS and ISSUING BANKS party hereto and JPMORGAN CHASE BANK, N.A., as administrative agent (in such capacity, the “Administrative Agent”), to the Second Amended and Restated Credit Agreement dated as of August 18, 2023 (as amended, supplemented or otherwise modified from time to time prior to the Amendment Effective Date (as defined below), the “Existing Credit Agreement”; the Existing Credit Agreement, as amended by this Amendment, the “Amended Credit Agreement”), among the Borrower, the lending institutions from time to time parties thereto as Lenders (as defined therein) and Issuing Banks (as defined therein) and the Administrative Agent. Capitalized terms used but not defined herein shall have the meanings assigned to such terms in the Existing Credit Agreement, except as otherwise expressly set forth herein.

WHEREAS pursuant to the Existing Credit Agreement, the Lenders and the Issuing Banks have agreed to extend credit to the Borrower on the terms and subject to the conditions set forth therein;

WHEREAS the Borrower intends to incur a new Class of Term Loans, denominated in dollars, in an aggregate principal amount equal to $1,050,000,000 (the “Tranche B-4 US$ Term Loans”), the proceeds of which will be used to refinance the Tranche B-3 US$ Term Loans outstanding as of the Amendment Effective Date and to pay fees and expenses related to the foregoing;

WHEREAS, in connection with the foregoing, the Borrower has requested, and the undersigned Lenders, together with the Administrative Agent, have agreed, upon the terms and subject to the conditions set forth herein and in the Amended Credit Agreement, that (a) the Existing Credit Agreement will be amended as provided herein, (b) the Tranche B-3 US$ Term Loans shall be refinanced with the proceeds of the Tranche B-4 US$ Term Loans and (c) the Loan Parties will reaffirm their respective obligations under the Security Agreements;

WHEREAS the Borrower has requested that the financial institutions set forth on Schedule I hereto (collectively with the Converting Term Lenders (as defined below), the “Tranche B-4 US$ Term Lenders”) commit to make the Tranche B-4 US$ Term Loans on the Amendment Effective Date (the commitment of each Tranche B-4 US$ Term Lender to provide its applicable portion of the Tranche B-4 US$ Term Loans, as set forth opposite such Tranche B-4 US$ Term Lender’s name on Schedule I hereto, is such Tranche B-4 US$ Term Lender’s “Tranche B-4 US$ Term Commitment”);

WHEREAS the Tranche B-4 US$ Term Lenders are willing to make the Tranche B-4 US$ Term Loans to the Borrower on the Amendment Effective Date on the terms and subject to the conditions set forth herein; and

WHEREAS the undersigned Lenders are willing to amend such provisions of the Existing Credit Agreement, in each case on the terms and subject to the conditions set forth herein.

NOW, THEREFORE, in consideration of the mutual agreements herein contained and other good and valuable consideration, the sufficiency and receipt of which are hereby acknowledged, and subject to the conditions set forth herein, the parties hereto hereby agree as follows:

SECTION 1.01.

Rules of Interpretation. The rules of interpretation set forth in Section 1.03 of the Existing Credit Agreement are hereby incorporated by reference herein, mutatis mutandis.

SECTION 1.02.

Amendment Effective Date. The “Amendment Effective Date” shall be the first date as of which all the conditions precedent set forth in Section 6 hereof shall have been satisfied or waived.

SECTION 1.03.

Concerning the Tranche B-4 US$ Term Loans.

(a)

Subject to the satisfaction of the conditions precedent set forth in Section 6 hereof, each Tranche B-4 US$ Term Lender (other than a Converting Term Lender) agrees, severally and not jointly, to make, on the Amendment Effective Date, a Tranche B-4 US$ Term Loan to the Borrower in an aggregate principal amount equal to its Tranche B-4 US$ Term Commitment. The Tranche B-4 US$ Term Commitment of each Tranche B-4 US$ Term Lender shall automatically terminate upon the making of the Tranche B-4 US$ Term Loans on the Amendment Effective Date. Amounts repaid or prepaid in respect of the Tranche B-4 US$ Term Loans may not be reborrowed. The Tranche B-4 US$ Term Loans are being funded with an original issue discount of 1.00% (it being agreed that the Borrower shall be obligated to repay 100% of the principal amount of the Tranche B-4 US$ Term Loans and interest shall accrue on 100% of the principal amount of the Tranche B-4 US$ Term Loans, in each cases as provided in the Amended Credit Agreement).

(b)

Each Tranche B-3 US$ Term Lender holding Tranche B-3 US$ Term Loans, by delivering a signature page hereto and selecting “Cashless Settlement Option”, shall be deemed to have elected for a “cashless conversion” of 100% of its Tranche B-3 US$ Term Loans into Tranche B-4 US$ Term Loans in the same principal amount (each such Tranche B-3 US$ Term Lender, a “Converting Term Lender” and collectively, the “Converting Term Lenders”). It is understood and agreed that (i) simultaneously with the deemed making of Tranche B-4 US$ Term Loans by each Converting Term Lender in accordance with the immediately preceding sentence and the payment to such Converting Term Lender by the Borrower of all accrued but unpaid interest on the Tranche B-3 US$ Term Loans so converted, such elected amount of Tranche B-3 US$ Term Loans held by such Converting Term Lender (such Converting Term Lender’s “Converted Term Loan Amount”) shall be deemed to be extinguished, repaid and no longer outstanding and such Converting Term Lender shall thereafter hold Tranche B-4 US$ Term Loans in an aggregate principal amount equal to such Converting Term

Lender’s Converted Term Loan Amount, (ii) no Converting Term Lender shall receive any repayment being made to the Tranche B-3 US$ Term Lenders in respect of Tranche B-3 US$ Term Loans from the proceeds of the Tranche B-4 US$ Term Loans to the extent of such Converting Term Lender’s Converted Term Loan Amount and (iii) the portion (if any) of the Tranche B-3 US$ Term Loans held by a Converting Term Lender that is not so allocated to such Converting Term Lender as a Converted Term Loan Amount shall be repaid in full on the Amendment Effective Date together with all accrued but unpaid interest owing to such Converting Term Lender (in its capacity as a Tranche B-3 US$ Term Lender) in respect of such amount.

(c)

Subject to paragraph (b) of this Section 1 with respect to any Converted Term Loan Amount, the proceeds of the Tranche B-4 US$ Term Loans shall be used by the Borrower on the Amendment Effective Date to prepay the entire principal amount of the Tranche B-3 US$ Term Loans outstanding as of the Amendment Effective Date, together with accrued but unpaid interest thereon, and the fees and expenses of the Borrower payable in connection with this Amendment, the Tranche B-4 US$ Term Commitment and the Tranche B-4 US$ Term Loans, with any remaining proceeds to be used by the Borrower for working capital and general corporate purposes.

(d)

Immediately upon the consummation of the transactions referenced in paragraphs (a) and (b) of this Section 1, each reference to the terms “Lenders” and “Term Lenders” in the Loan Documents shall be deemed to include the Tranche B-4 US$ Term Lenders, and each reference to the terms “Loans” and “Term Loans” in the Loan Documents shall be deemed to include the Tranche B-4 US$ Term Loans.

(e)

This Amendment shall constitute a Refinancing Facility Agreement and the Tranche B-4 US$ Term Loans shall constitute Refinancing Term Loans, in each case for purposes of the Existing Credit Agreement and the other Loan Documents, and this Amendment shall satisfy the notice requirements set forth in Section 2.23 of the Existing Credit Agreement in respect of Refinancing Term Loan Indebtedness.

(f)

For the avoidance of doubt, each Tranche B-4 US$ Term Lender, by delivery of a signature page hereto, hereby consents to the amendments to the Existing Credit Agreement and the other agreements set forth in Section 4 hereof.

SECTION 1.04.

Amendments; Release of Loan Parties; Replacement of Issuing Banks.

(a)

Subject to the satisfaction of the conditions precedent set forth in Section 6 hereof (but immediately after giving effect to the transactions described in Section 3 hereof), the Existing Credit Agreement will be amended to reflect the changes set forth in Exhibit A hereto (with the text in bold underline reflecting additions to the Existing Credit Agreement and the text in strikethrough reflecting deletions to the Existing Credit Agreement.

(b)

Subject to the satisfaction of the conditions precedent set forth in Section 6 hereof (but immediately after giving effect to the transactions described in

Section 3 hereof), each of FT Chemical, Inc., a Texas corporation, First Chemical Holdings, LLC, a Mississippi limited liability company, and First Chemical Texas, L.P., a Delaware limited partnership (collectively, the “Released Loan Parties”) shall automatically cease to be Subsidiary Loan Parties, Loan Parties, Guarantors and Grantors (and words of like import) under the Amended Credit Agreement and the other Loan Documents, and each of the Released Loan Parties shall automatically be released from its obligations under the Loan Documents, and all security interests created by the Security Documents in Collateral owned by such Released Loan Party shall automatically be released, in each case effective as of the Amendment Effective Date, on the basis that, as of the Amendment Effective Date, neither of the Released Loan Parties is a Material Subsidiary. The Administrative Agent hereby agrees to execute and deliver to each of the Released Loan Parties, at such Released Loan Party’s expense, all documents that such Released Loan Party shall reasonably request to evidence the foregoing. Any execution and delivery of documents pursuant to this paragraph (b) shall be without recourse to or warranty by the Administrative Agent. Notwithstanding the foregoing, in the event that at any time after the Amendment Effective Date and solely to the extent required by the Credit Agreement then in effect (as the same may be amended, supplemented or otherwise modified from time to time), a Released Loan Party becomes a Designated Subsidiary, then the Borrower shall comply with Section 5.11 of the Amended Credit Agreement with respect to such Released Loan Party.

(c)

Subject to the satisfaction of the conditions precedent set forth in Section 6 hereof (but immediately after giving effect to the transactions described in Section 3 hereof), the Borrower hereby designates, in accordance with Section 2.05(j) of the Amended Credit Agreement, but effective only as of the Non-Extended Revolving Maturity Date, each of BNP Paribas and Morgan Stanley Senior Funding, Inc. as an Issuing Bank (each, in such capacity, a “Replacement Issuing Bank”) for all purposes of the Amended Credit Agreement and the other Loan Documents, and the Administrative Agent hereby consents to such designation. The initial LC Exposure Sublimit of each Replacement Issuing Bank as of the Non-Extended Revolving Maturity Date shall be as specified in the definition of “LC Exposure Sublimit” in Section 1.01 of the Amended Credit Agreement.

SECTION 1.05.

Representations and Warranties. Each Loan Party represents and warrants to the Administrative Agent, each of the Replacement Issuing Banks and each of the Lenders (including, without limitation, the Tranche B-4 US$ Term Lenders) that:

(a)

This Amendment has been duly authorized, executed and delivered by it and constitutes a legal, valid and binding obligation of such Loan Party, enforceable against such Loan Party in accordance with its terms, subject to applicable bankruptcy, insolvency, reorganization, moratorium or other laws affecting creditors’ rights generally and subject to general principles of equity, regardless of whether considered in a proceeding in equity or at law.

(b)

The representations and warranties of such Loan Party set forth in the Loan Documents (giving effect to the amendments to the Existing Credit Agreement

contemplated by Section 4 hereof) are true and correct in all material respects (or, in the case of representations and warranties qualified as to materiality, in all respects) on and as of the date hereof (other than with respect to any representation and warranty that expressly relates to a prior date, in which case such representation and warranty is true and correct in all material respects (or in all respects, as applicable) as of such earlier date).

(c)

At the time of and immediately after giving effect to this Amendment, no Default shall have occurred and be continuing.

SECTION 1.06.

Effectiveness. The consummation of the transactions or amendments, as applicable, set forth in Sections 3 and 4 hereof shall be subject to the satisfaction or waiver of the following conditions precedent:

(a)

The Administrative Agent shall have received counterparts of this Amendment that, when taken together, bear the signatures of (i) each Loan Party, (ii) each Tranche B-4 US$ Term Lender, (iii) each Replacement Issuing Bank (it being understood that a counterpart of this Amendment from any Revolving Lender that is a Replacement Issuing Bank shall constitute a counterpart of this Amendment from such Replacement Issuing Bank), (iv) the Required Lenders (determined immediately after the transactions set forth in Section 3 hereof but immediately prior to the amendments and other agreements set forth in Section 4 hereof) and (v) a Majority in Interest of the Revolving Lenders (determined immediately after the transactions set forth in Section 3 hereof but immediately prior to the amendments and other agreements set forth in Section 4 hereof).

(b)

The Administrative Agent shall have received (i) with respect to each Loan Party, a secretary’s certificate of the type delivered to the Administrative Agent pursuant to Section 4.01(c) of the Existing Credit Agreement (as such term is defined in the Existing Credit Agreement), dated as of the Amendment Effective Date, (ii) a certificate of a Responsible Officer of the Borrower confirming compliance with the condition set forth in paragraph (c) of this Section 6, (iii) a favorable written opinion (addressed to the Administrative Agent, the Replacement Issuing Banks and the Lenders party hereto (including, without limitation, the Tranche B-4 US$ Term Lenders)), in form and substance reasonably satisfactory to the Administrative Agent, of Goodwin Procter LLP, counsel for the Loan Parties, dated as of the Amendment Effective Date and covering such matters relating to the Loan Parties and this Amendment as the Administrative Agent may reasonably request, and (iv) a certificate from a Financial Officer of the Borrower, substantially in the form attached as Exhibit J to the Existing Credit Agreement, certifying as to the solvency of the Borrower and its Restricted Subsidiaries on a consolidated basis after giving effect to the transactions contemplated hereby (including, for the avoidance of doubt, the incurrence of the Tranche B-4 US$ Term Loans and the application of the proceeds thereof to prepay the Tranche B-3 US$ Term Loans).

(c)

The representations and warranties set forth in Section 5 hereof shall be true and correct as of the Amendment Effective Date.

(d)

The Administrative Agent, the Arrangers (for purposes of this Amendment, as such term is defined in the Amended Credit Agreement) and the Lenders

(including, without limitation, the Tranche B-4 US$ Term Lenders) shall have received payment of all fees and expenses required to be paid or reimbursed by the Borrower or any other Loan Party under or in connection with this Amendment and any other Loan Document, including those fees and expenses set forth in Section 12 hereof.

(e)

The Administrative Agent shall have received from the Borrower, in accordance with Section 2.03 of the Amended Credit Agreement, a Borrowing Request with respect to the funding of the Tranche B-4 US$ Term Loans on the Amendment Effective Date.

(f)

The Administrative Agent shall have received from the Borrower, in accordance with Section 2.11 of the Existing Credit Agreement, a notice of prepayment with respect to the prepayment of all the outstanding principal amount of the Tranche B-3 US$ Term Loans on the Amendment Effective Date.

(g)

Substantially concurrently with the funding of the Tranche B-4 US$ Term Loans, the Tranche B-3 US$ Term Loans, together with all accrued but unpaid interest thereon and other accrued but unpaid amounts owing in respect thereof, shall have been paid in full.

(h)

The Administrative Agent shall have received, at least five Business Days prior to the Amendment Effective Date, all documentation and other information required by bank regulatory authorities or reasonably requested by the Administrative Agent on behalf of itself or on behalf of any Lender party hereto under or in respect of applicable “know your customer” and anti-money laundering rules and regulations, including the USA PATRIOT Act, that was requested at least 10 Business Days prior to the Amendment Effective Date (or such shorter period as the Administrative Agent shall have agreed).

(i)

To the extent that the Borrower qualifies as a “legal entity customer” under the Beneficial Ownership Regulation, at least five Business Days prior to the Amendment Effective Date, any Lender party hereto that has requested, in a written notice to the Borrower at least 10 Business Days prior to the Amendment Effective Date, a Beneficial Ownership Certification in relation to the Borrower shall have received such Beneficial Ownership Certification.

SECTION 1.07.

Post-Closing Matters. Not later than the date that is 90 days after the Amendment Effective Date (or such longer period as the Administrative Agent may agree in its reasonable discretion), each applicable Loan Party shall deliver either the items listed in paragraph (a) or the items listed in paragraph (b) as follows:

(a)

(i) an opinion or email confirmation from local counsel in each jurisdiction where a Mortgaged Property is located, in form and substance reasonably satisfactory to the Administrative Agent, to the effect that:

(A)

the recording of the existing Mortgage is the only filing or recording necessary to give constructive notice to third parties of the Lien created by such Mortgage as security for the Obligations, including the

Obligations evidenced by the Amended Credit Agreement and the other documents executed in connection herewith, for the benefit of the Secured Parties; and

(B)

no other documents, instruments, filings, recordings, re-recordings, re-filings or other actions, including the payment of any mortgage recording taxes or similar taxes, are necessary or appropriate under applicable law in order to maintain the continued enforceability, validity or priority of the Lien created by such Mortgage as security for the Obligations, including the Obligations evidenced by the Amended Credit Agreement and the other documents executed in connection therewith, for the benefit of the Secured Parties; and

(b)

a title search to the applicable Mortgaged Property demonstrating that such Mortgaged Property is free and clear of all Liens other than Liens permitted under the Amended Credit Agreement (“Permitted Liens”); or

(ii)

with respect to the existing Mortgages, the following, in each case in form and substance reasonably acceptable to the Administrative Agent:

(a)

with respect to each Mortgage encumbering a Mortgaged Property, an amendment or amendment and restatement thereof (each a “Mortgage Amendment”) duly executed and acknowledged by the applicable Loan Party, and in form for recording in the recording office where each Mortgage was recorded, together with such certificates, affidavits, questionnaires or returns as shall be required in connection with the recording or filing thereof under applicable law, in each case in form and substance reasonably satisfactory to the Administrative Agent;

(b)

with respect to each Mortgage Amendment, a date down and mortgage modification endorsement (each, a “Title Endorsement,” and collectively, the “Title Endorsements”) to the existing title policy relating to the Mortgage encumbering the Mortgaged Property subject to such Mortgage assuring the Administrative Agent that such Mortgage, as amended by such Mortgage Amendment, is a valid and enforceable first priority Lien on such Mortgaged Property in favor of the Administrative Agent for the benefit of the Secured Parties free and clear of all Liens other than Permitted Liens or otherwise consented to by the Administrative Agent of such Mortgaged Property, and such Title Endorsement shall otherwise be in form and substance reasonably satisfactory to the Administrative Agent;

(c)

with respect to each Mortgage Amendment, opinions of local counsel to the Loan Parties, which opinions (x) shall be addressed to the Administrative Agent and the Secured Parties, (y) shall cover the enforceability, due authorization, execution and delivery of the respective Mortgage as amended by such Mortgage Amendment and such other matters customarily covered in corporate opinions as the Administrative Agent may reasonably request and (z) shall be in form and substance reasonably satisfactory to the Administrative Agent;

(d)

with respect to each Mortgaged Property, such affidavits, certificates, surveys (including, without limitation, no-change affidavits sufficient to remove all standard survey exceptions from the title policy relating to the applicable Mortgage), information and instruments of indemnification (including, without limitation, a so-called “gap” indemnification) as shall be required by the title company to induce the title company to issue the Title Endorsements; and

(e)

evidence acceptable to the Administrative Agent of payment by the Borrower of all applicable title insurance premiums, search and examination charges, survey costs and related charges, mortgage recording taxes, fees, charges, costs and expenses required for the recording of the Mortgage Amendments and issuance of the Title Endorsements.

SECTION 1.08.

Reaffirmation.

(a)

Each of the Loan Parties party hereto hereby consents to this Amendment and the transactions contemplated hereby and hereby confirms its guarantees, pledges, grants of security interests and other agreements, as applicable, under each of the Security Documents to which it is party and agrees that, notwithstanding the effectiveness of this Amendment and the consummation of the transactions contemplated hereby (including the amendment of the Existing Credit Agreement), such guarantees, pledges, grants of security interests and other agreements of such Loan Parties shall continue to be in full force and effect and shall accrue to the benefit of the Secured Parties under the Amended Credit Agreement. Each of the Loan Parties party hereto further agrees to take any action that may be required under any applicable law or that is reasonably requested by the Administrative Agent, and is within the power of such Loan Party, to ensure compliance by the Borrower with the Collateral and Guarantee Requirement and Sections 5.11 and 5.12 of the Amended Credit Agreement and hereby reaffirms its obligations under each similar provision of each of the Security Documents to which it is a party.

(b)

Each of the Loan Parties party hereto hereby confirms and agrees that the Tranche B-3 Euro Term Loans, the Tranche B-3 US$ Term Loans (but only prior to the prepayment thereof as contemplated by Section 3 hereof), the Revolving Loans and the Letters of Credit (in each case, if any) have constituted and continue to constitute, and the Tranche B-4 US$ Term Loans shall, upon the funding thereof pursuant to Section 3 hereof, constitute, Obligations (or any word of like import) under each of the Security Documents.

SECTION 1.09.

Credit Agreement. Except as expressly set forth herein, this Amendment (a) shall not by implication or otherwise limit, impair, constitute a waiver of or otherwise affect the rights and remedies of the Lenders (including, without limitation, the Tranche B-4 US$ Term Lenders), the Issuing Banks, the Administrative Agent, the Borrower or any other Loan Party under the Existing Credit Agreement, the Amended Credit Agreement or any other Loan Document and (b) shall not alter, modify, amend or in any way affect any of the terms, conditions, obligations, covenants or agreements contained in the Existing Credit Agreement, the Amended Credit Agreement or any other Loan Document, all of which are ratified and affirmed in all respects and shall

continue in full force and effect. Nothing herein shall be deemed to entitle the Borrower or any other Loan Party to any future consent to, or waiver, amendment, modification or other change of, any of the terms, conditions, obligations, covenants or agreements contained in the Amended Credit Agreement or any other Loan Document in similar or different circumstances. After the date hereof, any reference in the Loan Documents to the “Credit Agreement” shall mean the Amended Credit Agreement. This Amendment shall constitute a “Loan Document” for all purposes of the Existing Credit Agreement, the Amended Credit Agreement and the other Loan Documents.

SECTION 1.10.

Applicable Law; Jurisdiction; Waiver of Jury Trial. (a)THIS AMENDMENT AND ANY CLAIM, CONTROVERSY, DISPUTE OR CAUSE OF ACTION (WHETHER IN CONTRACT OR TORT OR OTHERWISE) BASED UPON, ARISING OUT OF OR RELATING TO THIS AMENDMENT AND THE TRANSACTIONS CONTEMPLATED HEREBY SHALL BE GOVERNED BY, AND CONSTRUED IN ACCORDANCE WITH, THE LAW OF THE STATE OF NEW YORK.

(b)

EACH PARTY HERETO HEREBY AGREES AS SET FORTH IN SECTIONS 9.09(b), 9.09(c), 9.09(d) AND 9.10 OF THE EXISTING CREDIT AGREEMENT AS IF SUCH SECTIONS WERE SET FORTH IN FULL HEREIN, MUTATIS MUTANDIS.

SECTION 1.11.

Counterparts; Amendment. This Amendment may be executed in two or more counterparts, each of which shall constitute an original but all of which when taken together shall constitute a single contract. Delivery of an executed counterpart of a signature page of this Amendment by telecopy or electronic transmission shall be effective as delivery of a manually executed counterpart of this Amendment. The words “execution”, “signed”, “signature”, “delivery” and words of like import in or relating to this Amendment and/or any document to be signed in connection with this Amendment and the transactions contemplated hereby shall be deemed to include Electronic Signatures (as defined below), deliveries or the keeping of records in electronic form, each of which shall be of the same legal effect, validity or enforceability as a manually executed signature, physical delivery thereof or the use of a paper-based recordkeeping system, as the case may be. As used herein, “Electronic Signatures” means any electronic sound, symbol or process attached to, or associated with, a contract or other record and adopted by a person with the intent to sign, authenticate or accept such contract or record. This Amendment may not be amended nor may any provision hereof be waived except in accordance with the terms of the Existing Credit Agreement or the Amended Credit Agreement, as applicable.

SECTION 1.12.

Fees and Expenses.

(a)

The Borrower confirms that pursuant to a fee letter between the Borrower and the Arrangers dated as of September 24, 2025, the Borrower has agreed to pay to the Arrangers the fees set forth in such fee letter. The Borrower confirms that the fees payable pursuant to such fee letter are due and payable in immediately available funds on, and subject to the occurrence of, the Amendment Effective Date.

(b)

The Borrower agrees to reimburse the Administrative Agent for its reasonable out-of-pocket expenses in connection with this Amendment to the extent required under Section 9.03(a) of the Existing Credit Agreement.

(c)

The Administrative Agent hereby waives, during the period commencing on the Amendment Effective Date and ending on the date that is 30 days thereafter, the payment of the processing and recordation fee required pursuant to clause (C) of Section 9.04(b)(ii) of the Amended Credit Agreement with respect to any assignment by Citibank, N.A. of the Tranche B-4 US$ Term Loans in connection with the initial syndication thereof.
