Explanatory Note

On October 22, 2025, Third Coast Bancshares, Inc. (the “Company”) filed with the Securities and Exchange Commission (the “SEC”) a Current Report on Form 8-K (the “Original 8-K”) to disclose that it had issued a press release announcing its financial results for the quarter ended September 30, 2025. The Original 8-K inadvertently failed to furnish the Company’s presentation to analysts and investors (the “Investor Presentation”) containing additional information about the Company’s financial results for the quarter ended September 30, 2025 and failed to include disclosure under Item 7.01 of Form 8-K related thereto. Accordingly, the Company hereby amends the Original 8-K to furnish the Investor Presentation, add such disclosure under Item 7.01 and amend Item 9.01 to add a reference to the Investor Presentation.

Except as described above and below, all other information in the Original 8-K remains unchanged.

Item 7.01 Regulation FD Disclosure.

The Company intends to hold an investor call and webcast to discuss its financial results for the quarter ended September 30, 2025, on Thursday, October 23, 2025, at 10:00 a.m. Central Time. The Company’s presentation to analysts and investors contains additional information about the Company’s financial results for the quarter ended September 30, 2025, and is furnished as Exhibit 99.2 to this Current Report on Form 8-K.

In accordance with General Instruction B.2 of Form 8-K, the information in Item 7.01 of this Current Report on Form 8-K, including Exhibit 99.2, shall not be deemed “filed” for purposes of Section 18 of the Exchange Act, or otherwise subject to the liabilities of that section.
