Item 3.02.

Unregistered Sale of Equity Securities.

As of October 1, 2025, Silver Point Specialty Lending Fund (the “Fund”) issued and sold 1,702,510 of its unregistered common shares of beneficial interest, par value $0.001 per share (the “Shares”), for an aggregate offering price of approximately $24,124,566, reflecting a purchase price of $14.17 per Share (with the final number of Shares being determined on October 21, 2025).

The offer and sale of Shares was made pursuant to subscription agreements entered into by the Fund and its shareholders. The offer and sale of the Shares was exempt from the registration provisions of the Securities Act of 1933 (the “Securities Act”), pursuant to Section 4(a)(2) of the Securities Act, Regulation D thereunder, and/or Regulation S thereunder.
