AMENDMENT NO. 6 TO TERM LOAN CREDIT AGREEMENT

THIS AMENDMENT NO. 6 TO TERM LOAN CREDIT AGREEMENT (this “Amendment”) is

entered into as of November 5, 2025 by and among Claros Mortgage Trust, Inc., a Maryland corporation (the “Borrower”), the Subsidiary Guarantors party hereto, the Amendment No. 6 Consenting Lenders (as defined below) party hereto constituting Required Lenders and JPMorgan Chase Bank, N.A., in its capacity as administrative agent under the Credit Agreement referred to below (in such capacity, the “Administrative Agent”).

W I T N E S S E T H:

WHEREAS, the Borrower, the lenders from time to time party thereto (each, a “Lender” and collectively, the “Lenders”) and the Administrative Agent are parties to that certain Credit Agreement, dated as of August 9, 2019 (as the same has been amended, restated, amended and restated, supplemented or otherwise modified prior to the effectiveness of this Amendment, the “Existing Credit Agreement”; the Existing Credit Agreement, as amended by this Amendment and as further amended, restated, amended and restated, supplemented or otherwise modified from time to time, the “Credit Agreement”);

WHEREAS, the Borrower desires to amend the Existing Credit Agreement on the terms set forth

herein;

WHEREAS, Section 9.02 of the Existing Credit Agreement provides that the relevant Loan Parties and the Required Lenders may amend the Existing Credit Agreement for certain purposes, including to amend certain provisions thereunder;

WHEREAS, the Amendment No. 6 Consenting Lenders have agreed, on the terms and conditions set forth herein, to consent to the amendments to the Credit Agreement as provided in Section 2 below);

NOW THEREFORE, in consideration of the mutual covenants and agreements set forth in the Credit Agreement and this Amendment, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto hereby agree as follows:

Defined Terms. Capitalized terms used but not defined herein shall have the meanings ascribed to them in the Existing Credit Agreement.

Waiver and Amendments to the Existing Credit Agreement. (I) Subject only to the satisfaction of the conditions set forth in Section 5 below, (A) the Existing Credit Agreement is hereby amended to delete the stricken text (indicated textually in the same manner as the following example: stricken text) and to add the double-underlined text (indicated textually in the same manner as the following example: double-underlined text) as set forth in the Credit Agreement attached as Annex A hereto, (B) Exhibit D to the Existing Credit Agreement is hereby amended and restated in its entirety as set forth in Annex B hereto, (C) the Existing Credit Agreement is hereby amended to include new Schedule 1.01(d) as set forth on Annex C hereto and (II) in accordance with Section 9.02 of the Credit Agreement, and effective as of the Amendment No. 6 Effective Date, the Required Lenders hereby waive the requirement set forth in Section 2.11(a) of the Credit Agreement to provide three Business Days prior notice of any prepayment of any Borrowing of Term Loans and agree that the execution of this Amendment satisfies the requirement set forth in Section 2.11(a).

Representations and Warranties.

(a)

The representations and warranties of the Borrower set forth in Article 3 of the Credit Agreement and the representations and warranties of the applicable Loan Parties set forth in the other Loan Documents shall be true and correct in all material respects on and as of the Amendment No. 6 Effective Date; provided that (A) in the case of any representation which expressly relates to a given date or period, such representation shall be true and correct in all material respects as of the respective date or for the respective period, as the case may be and (B) if any representation is qualified by or subject to a “material adverse effect,” “material adverse change” or similar term or qualification, such representation shall be true and correct in all respects.

(b)

As of the Amendment No. 6 Effective Date and after giving effect to the amendments in the Credit Agreement, (i) the sum of the debt (including contingent liabilities) of the Borrower and its Subsidiaries, taken as a whole, does not exceed the fair value of the assets (on a going concern basis) of the Borrower and its Subsidiaries, taken as a whole; (ii) the capital of the Borrower and its Subsidiaries, taken as a whole, is not unreasonably small in relation to the business of the Borrower and its Subsidiaries, taken as a whole, contemplated as of the Amendment No. 6 Effective Date; and (iii) the Borrower and its Subsidiaries, taken as a whole, do not intend to incur, or believe that they will incur, debts (including current obligations and contingent liabilities) beyond their ability to pay such debt as they mature in the ordinary course of business.

(c)

No Event of Default has occurred and is continuing.

Conditions to Effectiveness. This Amendment shall be effective on the date (the “Amendment No. 6 Effective Date”) upon which each of the following conditions is satisfied:

(a)

The Administrative Agent shall have received each of the following:

(i)

Executed counterparts to this Amendment No. 6 from each Loan Party and Amendment No. 6 Consenting Lenders who, collectively, constitute the Required Lenders;

(ii)

A certificate from a Responsible Officer of the Borrower, certifying as to the representations and warranties set forth in Section 4 of this Amendment as of the Amendment No. 6 Effective Date; and

(iii)

(i) a certificate of each Loan Party, dated as of the date hereof and executed by a secretary, assistant secretary or other similarly-titled Responsible Officer thereof, which shall certify (a) that attached thereto is a true and complete copy of the certificate or articles of incorporation, formation or organization of such Loan Party, as applicable, certified by the relevant authority of its jurisdiction of organization, which certificate or articles of incorporation, formation or organization of such Loan Party, as applicable, have not been amended (except as attached thereto) since the date reflected thereon, (b) that attached thereto is a true and correct copy of the by-laws or operating, management, partnership or similar agreement of such Loan

Party, as applicable, together with all amendments thereto as of the Amendment No. 6 Effective Date (or for Loan Parties other than the Borrower, if applicable, a certification that no change has been made to such documents of such Loan Party since the date of the Existing Credit Agreement) and such by-laws or operating, management, partnership or similar agreement are in full force and effect, (c) that attached thereto is a true and complete copy of the resolutions or written consent, as applicable, of its board of directors, board of managers, sole member, manager or other applicable governing body authorizing the execution and delivery of this Amendment, which resolutions or consent have not been modified, rescinded or amended (other than as attached thereto) and are in full force and effect and (d) as to the incumbency and specimen signature of each officer, manager, director or authorized signatory executing this Amendment No. 6 or any other Loan Document delivered by such Loan Party in connection therewith and (ii) a good standing (or equivalent) certificate for such Loan Party, as applicable, from the relevant authority of its jurisdiction of organization, dated as of a recent date.

Conditions Subsequent.

(a)

No later than three (3) Business Days after the Amendment No. 6 Effective Date, the Borrower shall prepay, in accordance with Section 2.11(a) of the Credit Agreement, $150,000,000 of outstanding Term B-1 Loans.

(b)

No later than three (3) Business Days after the Amendment No. 6 Effective Date, the Administrative Agent and the Amendment No. 6 Consenting Lenders party hereto shall have received

(i) all premiums as agreed in writing required to be paid by the Borrower on the Amendment No. 6 Effective Date and (ii) the accrued and unpaid fees and expenses of Gibson, Dunn & Crutcher LLP and Moelis & Co., as advisors to the Amendment No. 6 Consenting Lenders, and all other expenses required to be reimbursed by the Borrower under the Existing Credit Agreement in connection with this Amendment, in each case, for which invoices have been presented at least one (1) Business Day prior to the Amendment No. 6 Effective Date or such later date to which the Borrower may agree (including the reasonable and documented out-of-pocket fees and expenses of legal counsel required to be paid), in each case on or before the Amendment No. 6 Effective Date.

(c)

No later than the Consent Deadline, the Borrower shall pay the Consent Premium to the Amendment No. 6 Consenting Lenders.

(d)

Notwithstanding anything to the contrary herein, in the event that any of the conditions subsequent set forth in Sections 6(a) through (c) are not satisfied in accordance with the terms thereof, the effectiveness of the Amendment shall be revoked and shall be void and of no further effect.

Headings. The headings of this Amendment are for purposes of reference only and shall not limit or otherwise affect the meaning hereof.

Counterparts; Electronic Execution. This Amendment may be executed in counterparts (and by different parties on different counterparts), each of which shall constitute an original, but all of which when taken together shall constitute a single contract. Signature pages may be detached from multiple separate counterparts and attached to a single counterpart. Delivery of an executed signature page to this Amendment by facsimile or other electronic transmission (including by email as a “.pdf” or “.tif”

attachment) shall effective as delivery of a manually executed counterpart hereof. The words “execution,” “execute”, “signed,” “signature,” “delivery,” and words of like import in or related to any document to be signed in connection with this Amendment and the transactions contemplated hereby shall be deemed to include electronic signatures, deliveries or the keeping of records in any electronic form (including deliveries by telecopy, emailed pdf, or any other electronic means that reproduces an image of an actual executed signature page), each of which shall be of the same legal effect, validity or enforceability as a manually executed signature page, physical delivery thereof or the use of a paper-based recordkeeping system, as the case may be; provided, that nothing herein shall require the Administrative Agent to accept electronic signatures in any form or format without its prior written consent and pursuant to procedures approved by it; provided, further, without limiting the foregoing, (i) to the extent the Administrative Agent has agreed to accept any electronic signature, the Administrative Agent and each of the Amendment No. 6 Consenting Lenders shall be entitled to rely on such electronic signature purportedly given by or on behalf of the Borrower without further verification thereof and without any obligation to review the appearance or form of any such electronic signature and (ii) upon the request of the Administrative Agent, any electronic signature shall be promptly followed by a manually executed counterpart. Without limiting the generality of the foregoing, the Borrower hereby (A) agrees that, for all purposes, including without limitation, in connection with any workout, restructuring, enforcement of remedies, bankruptcy proceedings or litigation among the Administrative Agent, the Amendment No. 6 Consenting Lenders, the Borrower and the Loan Parties, electronic signatures transmitted by telecopy, emailed pdf. or any other electronic means that reproduces an image of an actual executed signature page and/or any electronic images of this Amendment shall have the same legal effect, validity and enforceability as any paper original, (B) the Administrative Agent and each of the Amendment No. 6 Consenting Lenders may, at its option, create one or more copies of this Amendment in the form of an imaged electronic record in any format, which shall be deemed created in the ordinary course of such Person’s business, and destroy the original paper document (and all such electronic records shall be considered an original for all purposes and shall have the same legal effect, validity and enforceability as a paper record), (C) waives any argument, defense or right to contest the legal effect, validity or enforceability of this Amendment based solely on the lack of paper original copies of this Amendment, including with respect to any signature pages thereto and (D) waives any claim against the Administrative Agent and/or any Amendment No. 6 Consenting Lender of any of the foregoing for any liabilities arising solely from the Administrative Agent’s and/or any Amendment No. 6 Consenting Lender’s reliance on or use of electronic signatures and/or transmissions by telecopy, emailed pdf. or any other electronic means that reproduces an image of an actual executed signature page, including any liabilities arising as a result of the failure of the Borrower to use any available security measures in connection with the execution, delivery or transmission of any electronic signature.

Successors and Assigns. The provisions of this Amendment shall be binding upon and inure to the benefit of the parties hereto and their respective successors and permitted assigns.

Governing Law; Jurisdiction; WAIVER OF JURY TRIAL.

(a)

Governing Law. This Amendment and any claim, controversy or dispute arising under or related to this Amendment shall be governed by, and construed and interpreted in accordance with, the laws of the State of New York.

(b)

JURISDICTION; CONSENT TO SERVICE OF PROCESS; WAIVER OF JURY TRIAL. SECTIONS 9.10(b), (c) AND (d) AND 9.11 OF THE CREDIT AGREEMENT ARE HEREBY INCORPORATED BY REFERENCE, MUTATIS MUTANDIS.

Reaffirmation; No Novation. Each Loan Party hereby expressly acknowledges the terms of this Amendment and reaffirms, as of the date hereof, (i) the covenants and agreements contained in each Loan Document to which it is a party, including, in each case, such covenants and agreements as in effect

immediately after giving effect to this Amendment and the transactions contemplated hereby and (ii) its guarantee of the Obligations under the Guarantee, as applicable, and its grant of Liens on the Collateral to secure the Obligations pursuant to the Collateral Documents, with all such Liens continuing in full force and effect after giving effect to this Amendment. Each of the parties hereto confirms that the amendment of the Existing Credit Agreement pursuant to this Amendment shall not constitute a novation of the Existing Credit Agreement or any other Loan Document.

Loan Document. For the avoidance of doubt, this Amendment is a Loan Document.

13.

Severability. To the extent permitted by applicable Requirements of Law, any provision of this Amendment held to be invalid, illegal or unenforceable in any jurisdiction shall, as to such jurisdiction, be ineffective to the extent of such invalidity, illegality or unenforceability without affecting the validity, legality and enforceability of the remaining provisions thereof; and the invalidity of a particular provision in a particular jurisdiction shall not invalidate such provision in any other jurisdiction.
