Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 28, 2026, Stacy Hock informed the Board of Directors (the “Board”) of Atlas Energy Solutions Inc. (the “Company”) of her intent not to stand for reelection to the Board at the Company’s 2026 Annual Meeting of Shareholders (the “Annual Meeting”). The decision of Ms. Hock was not the result of any disagreement between the director and the Company relating to the Company’s operations, policies or practices. Ms. Hock will continue to serve on the Board and as a member of the Compensation Committee and Nominating and Corporate Governance Committee until the expiration of her current term at the Annual Meeting.
