Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 31, 2026, Carole Ho provided Beam Therapeutics Inc. (the “Company”) with notice of her resignation from the Board of Directors of the Company, effective as of February 27, 2026. Dr. Ho’s decision to resign did not result from any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
