("Global") (collectively, Mr. Friezo, Advisor, Overseas and Global are referred to herein as the "Reporting Persons"). The Reporting Persons may be deemed to constitute a group for purposes of Section 13(d) of the Securities Exchange Act of 1934, as amended (the "Exchange Act"). Mr. Friezo is a director of the Issuer, and is the managing member and controlling holder of the general partner of the Advisor, which is the investment advisor to Overseas and Global.
