("CMED"), CIVCO Holding, Inc., and CMT Mergerco, Inc., dated March 12, 2003, as amended, all outstanding options for CMED common stock became vested in full as of the closing of the merger on July 18, 2003 and then were cancelled in exchange for a cash payment from CMED in an amount equal to the amount, if any, by which $4.75 exceeded the per-share exercise price of such option, multiplied by the number of shares of common stock of CMED subject to such option.
