- [F1]This figure represents the number of restricted stock units ("RSUs") granted to the reporting person upon the approval and certification by the Company's Compensation Committee on February 3, 2010 of the achievement of pre-established performance targets. The Compensation Committee authorized this performance-based award opportunity (the Strategic Leadership Award) in October 2007. RSUs are settled in shares of PBG common stock and are calculated on a one unit for one share basis. The vesting with respect to these RSUs is also contingent upon continued employment through January 1, 2012, subject to accelerated vesting and payout under certain circumstances. These RSUs accumulate dividend equivalents during the vesting period which are paid in shares of PBG Common Stock only if and when the RSUs vest and become payable.
- [F2]This number includes 320 RSUs accumulated as a result of dividend equivalents credited to the reporting person through January 4, 2010 at the same time and in the same amount as dividends were paid to shareholders of common stock in accordance with the agreement governing the reporting person's RSU awards.
- [F3]Reflects the number of shares of PBG Common Stock attributed to the reporting person based on his holdings in the PBG Common Stock fund of the PBG 401(k) Plan as of February 3, 2010. The number of shares was calculated by dividing the dollar value of the reporting person's holdings in such fund by the closing price of PBG Common Stock on February 3, 2010.
