- [F1]Pursuant to the Endo Health Solutions Directors Stock Election Plan, on December 13, 2011, Mr. Spengler elected to receive 100% of his 2012 cash retainer fees and 100% of his 2012 meeting fees in Endo common stock. At the time that the retainer and meeting fees would otherwise have been payable, the number of shares of Endo common stock are fixed and are reported as of such date on Table I as an acquisition of securities. These cash retainer and meeting fees are payable to Mr. Spengler in consideration of his services on the Endo Health Solutions Inc. Board of Directors, Audit Committee and Compensation Committee for the second quarter 2012 meetings and the second quarter 2012 retainer. Under the Endo Health Solutions Directors Deferred Compensation Plan, also on December 13, 2011, Mr. Spengler elected to defer receipt of all of these shares.
- [F2]This number represents (i) 5,481 restricted stock units and (ii) 24,133 shares of common stock, receipt of 22,045 shares of which has been deferred under the Endo Health Solutions Directors Deferred Compensation Plan.
