("Merger Sub"), a wholly owned subsidiary of Tenet Healthcare Corporation ("Parent"), pursuant to the terms of the Agreement and Plan of Merger, dated as of June 24, 2013 (the "Merger Agreement"), by and among Parent, Merger Sub and the Company, at the effective time of the Merger, the stock options were canceled in exchange for a cash payment, subject to any required tax withholdings, equal to the excess of $21.00 per share over the exercise price per share under each stock option multiplied by the number of shares subject to such stock option.
