- [F1]On August 31, 2016, Apollo Commercial Real Estate Finance, Inc., a Maryland corporation ("ARI"), acquired Apollo Residential Mortgage, Inc. a Maryland corporation (the "Issuer") pursuant to that certain Agreement and Plan of Merger by and among the Issuer, Arrow Merger Sub, Inc., a Maryland corporation and a wholly owned subsidiary of ARI ("Merger Sub"), and ARI, dated as of February 26, 2016 ("Merger Agreement").
- [F2]In accordance with the Merger Agreement, on August 31, 2016, AMTG merged with and into Merger Sub (the "Merger"). At the effective time of the Merger, each outstanding share of the Issuer's common stock was automatically cancelled and converted into the right to receive approximately $6.86 in cash and 0.417571 shares of ARI (the "Per Share Merger Consideration"), less applicable tax withholdings. Pursuant to the Merger Agreement, each share of restricted stock which was not vested as of the effective time of the Merger vested and was converted into the right to receive the Per Share Merger Consideration, less applicable tax withholdings. The Merger is more fully described in the Issuer's proxy statement / prospectus filed with the SEC on July 27, 2016.
