- [F1]This amendment is being filed to correct an error on the reporting person's original Form 4 filed February 21, 2020 ("Original Form 4"). The number of shares surrendered by the reporting person for tax withholding in conjunction with the vesting of performance-based shares that was reported in Column 4 of Table 1 of the Original Form 4 was incorrect and has been corrected in this amended Form 4. In addition, the total number of shares beneficially owned in Column 5 of the Original Form 4 has been corrected to reflect the correct number of shares held by the reporting person after the transaction. This reduced number of shares held by the reporting person after the transaction is not reflected in the amounts in Column 5 of Table 1 of the Form 4 filed by the reporting person on March 31, 2020.
