("Cheviot"), which became effective on March 16, 2011 (the "Effective Date") in accordance with the terms of the Agreement and Plan of Merger, dated October 12, 2010, among (i) Cheviot, Merger Sub and Cheviot Savings Bank (ii) First Franklin and Franklin Savings and Loan Company (the "Merger Agreement"), each share of First Franaklin common stock held by the reporting person will be converted into the right to receive $14.50 (the "Merger Consideration") on the Effective Date.
