Item 8.01. Other Events.

On March 4, 2009, Health Systems Solutions, Inc. (the “Company”) issued a press release announcing that its Board of Directors unanimously approved the termination of the registration of its common stock under the Securities Exchange Act of 1934, as amended, and that the Company will file a Form 15 with the Securities and Exchange Commission to effect the deregistration on or about March 18, 2009. A copy of the press release is attached as Exhibit 99.1 hereto.
