- [F1]In accordance with certain requirements of The Stock Exchange of Hong Kong Limited, WH Group Limited ("WHG") has declared a special dividend to its shareholders by way of a distribution of shares of common stock of Smithfield Foods, Inc. ("Smithfield Common Stock") held by WH Group Limited or cash in lieu thereof, at the election of such shareholders (the "WHG Distribution"). On April 8, 2025, WHG effected the WHG Distribution and, based on its shareholders' elections, distributed 21,296 shares of Smithfield Common Stock to its shareholders.
- [F2]Such shares were transferred from SFDS UK Holdings Limited, an indirect wholly owned subsidiary of WHG ("SFDS UK"), to WHG, thereby changing WHG's ownership of such shares from indirect ownership to direct ownership. This transfer was exempt from reporting pursuant to Rule 16a-13.
