- [F1]On August 16, 2022, the reporting person's revocable trust (the "Trust") withdrew approximately 69% of the units of a family limited liability company, whose sole asset is the Issuer's common stock, from a grantor retained annuity trust (the "GRAT") of which the reporting person is the sole trustee and sole annuitant. In exchange for such units, the Trust contributed to the GRAT a promissory note in the principal amount of $190,067.65. The reporting person believes that this withdrawal of units from the GRAT constitutes a change in form of beneficial ownership exempted by Rule 16a-13 under the Securities Exchange Act of 1934.
