David E. Marcus, a director of the Issuer, is the managing partner of the Reporting Person and the beneficial owner of 50% of the shares of Common Stock owned by the Reporting Person. The remaining shares of Common Stock owned by the Reporting Person are beneficially owned by his spouse, and this report shall not be deemed an admission that he owns such shares for purposes of Section 16.
