- [F1]These shares were issued to the reporting person pursuant to a merger agreement between Lion Biotechnologies, Inc. and Genesis Biopharma, Inc. dated July 24, 2013 whereby upon the completion of the closing price per share of the Issuer's common stock equaling or exceeding $4.00 per share (as adjusted for the recent reverse stock split), and $100,000 of the Issuer's common stock trading for ten (10) days out of thirty (30) consecutive trading days within 12 months following the merger, additional shares would be issued to the reporting person. The Issuer's common stock achieved these milestones and the Board approved the issuance of these shares on December 30, 2013.
