- [F1]Award of restricted stock units (RSUs) granted under the 2008 Directors' Plan. The RSUs will vest as to 25% of the shares subject to the award as of the date of grant and, for as long as the reporting person continues to serve as a member of Nashua Corporation's Board of Directors, will vest as to an additional 25% of the shares subject to the award at the end of each successive three-month period following the date of grant until fully vested. The RSUs will be settled and the shares subject to the RSUs will be delivered to the reporting person upon his retirement or resignation from the Board, or the cessation of his membership on the Board for any reason. Upon a change in control of Nashua Corporation, the restricted stock units will fully vest and shall be settled.
