The Audit Committee certified such financial targets for fiscal year 2015 on August 24, 2015, and the Compensation Committee certified such financial targets on August 25, 2015. All of the performance share units vested on August 25, 2015, and the Reporting Person received 10,788 shares of the Issuer's common stock upon settlement of the performance share units.
