The Reporting Person's spouse is a co-trustee of the trust, to which the Reporting Person contributed 350,000 Common Common Shares in a transacton that resulted in a change in the nature of the form of beneficial ownership from direct to indirect. The spousal trust's sales were effected pursuant to a Rule 10b5-1 trading plan adopted by the spousal trust on September 16, 2014 following the recommendation of the spousal trust's financial advisor to diversify the trust's assets.
