Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective November 5, 2013, Ambient Corporation (the “Company”) accepted the resignation of Stacey Fitzgerald as Chief Financial Officer.

John J. Joyce, the Company’s Chief Executive Officer, will assume the duties of principal financial and accounting officer on an interim basis while the Company initiates the search for a successor Chief Financial Officer. Information about Mr. Joyce’s business background and compensation arrangements are contained in the Company’s Proxy Statement on Schedule 14A filed with the Securities and Exchange Commission on April 24, 2013.
