In addition, pursuant to the agreement CIDM, LLC has the right to receive in cash, on the date of exercise of each stock appreciation right, the excess of (a) the Market Value (as defined in the Agreement ) per share (b) on the date of exercise over the Base Price(as defined in the Agreement)
